Digital Advertising Management — Client Terms of Service
These Terms explain the scope of advertising management services, management fees, the Client's responsibility for advertising-policy and legal compliance, and the separation of the Provider's work from advertising-platform billing.
The Provider is the company or business identified on your invoice. Please read these Terms before instructing work or granting advertising-account access.
1. Definitions and acceptance
In these Terms, “Provider” means the company or business identified on the invoice and “Client” means the person or business purchasing the services. By instructing the Provider to provide digital advertising services, the Client agrees to these Terms.
These Terms apply to digital advertising management and related recommendations unless the parties expressly agree different terms in writing.
2. Services and scope of work
The Provider may set up, manage, monitor and modify advertising campaigns and accounts, including Google Ads and Meta/Facebook Ads. This may include campaign structures, copy, keywords, negative keywords, audiences, targeting, bidding, budgets and other configurations. Images, videos and other creative assets are excluded unless specifically agreed.
The Provider provides advertising management and recommendations, not legal, regulatory, accounting or professional compliance advice. Recommendations about campaign structure, targeting, wording, creative concepts or ad formats are for the Client to review and decide whether to use.
4. Independent contractor — not part of the Client’s business
The Provider acts as an independent external service provider and is not an employee, director, officer, partner, shareholder or internal compliance representative of the Client. Nothing in these Terms creates an employment relationship, partnership, joint venture or other internal role within the Client's business.
The Provider does not operate the Client's business, approve the legality of its products or services, or assume the Client's statutory, regulatory or advertising-platform obligations. Access to a Client advertising account does not make the Provider the advertiser or the contracting party responsible for the Client's transactions with the advertising platform.
5. Client responsibility for Google Ads and Meta/Facebook Ads policies
The Client is responsible for understanding, monitoring and complying with all applicable Google Ads policies, Meta/Facebook advertising policies, platform terms, advertiser verification requirements and rules applying to its business, products, services, websites, landing pages, claims, targeting and ads. The same applies to any other advertising platform the Client asks the Provider to use.
The Provider may recommend advertisements and may technically create, upload or adjust ads within the Client's account as part of campaign management. Those actions are not a representation, warranty or legal certification that the ads comply with any platform policy or law. The Client must independently check the suitability and compliance of all advertising and supply any special restrictions or instructions in writing before ads are published or changed.
The Client must promptly disclose any known or applicable advertising restrictions, sector regulations, licences, required warnings, prohibited claims, product limitations, account restrictions or additional platform approvals. The Provider may rely on the information and instructions supplied by the Client.
To the fullest extent permitted by law, the Provider does not accept liability for disapprovals, account suspensions, penalties, claims, investigations, commercial losses or other consequences arising from the Client's failure to meet these responsibilities. Nothing in this clause removes duties or liabilities that cannot legally be excluded.
6. Mandatory wording, disclaimers and AI-generated imagery
The Client must tell the Provider, clearly and in writing, about any mandatory statement, warning, qualifying information, label, disclaimer or disclosure that must appear within an advertisement or its landing page. The Client is responsible for checking that the required wording is accurate, sufficiently prominent and used in the correct placements and formats.
Example: If a property, development, product or service is illustrated using AI-generated or conceptual imagery, the Client must inform the Provider if a disclosure such as “AI-generated visualisation. Actual property may differ.” (or other legally required wording) must be displayed. The Client must provide or approve the exact text and advise where it must appear.
This also applies to regulated products or services, qualifications to pricing or promotional claims, availability, eligibility, licensing, finance, health, property, consumer and other sector-specific notices. The example text above is illustrative only and is not legal advice or a guarantee of compliance.
7. Local laws, targeted countries and currency requirements
The Client is responsible for identifying and complying with laws, regulations, consumer-protection rules, advertising standards and industry requirements in every country or region in which its business operates or its ads are targeted or displayed, including requirements that may differ from those of its home country.
Example: If advertisements are shown in a country that requires certain prices to appear in that country's local currency, even where the Client is based elsewhere, the Client must notify the Provider of that requirement in writing, identify the applicable country and currency, and supply compliant prices, wording and any required exchange-rate or tax information.
The Provider is not engaged to research, interpret or monitor every local legal requirement. The Client must obtain appropriate legal or regulatory advice where needed and must instruct the Provider about necessary changes before launch. The Client bears responsibility for the accuracy, legality and local suitability of its advertised offers, pricing, landing pages and required notices.
8. Images, videos and other advertising creative are outside scope
Creating or supplying final advertising images, videos, animations, designs, audio or other creative files is not included in the standard advertising management service. The Client is asked to produce and supply its own finished creative files, properly cleared and approved for the intended advertising use.
If the Provider voluntarily prepares, edits or shares an image, video, mock-up, draft, example, AI-generated visual or other creative file, this is provided solely as an optional illustration or recommendation of the type of advertisement the Client might choose to use. It does not make creative production part of the agreed scope, and it does not constitute final, legally reviewed or approved advertising material.
The Client must decide whether to adopt, amend, reproduce or replace any suggested creative; prepare or commission its own final assets; confirm that all required licences, intellectual-property permissions, model or property releases and consents are in place; and check for all legally or platform-required disclosures, including AI-related labels or warnings. The Client remains responsible for its final choice and use of the creative, even when a draft was voluntarily supplied by the Provider.
Any separately commissioned creative production work must be expressly agreed in writing, including its scope, fees, approvals and rights.
9. Client information, approvals and instructions
The Client is responsible for the accuracy and legality of its products, services, claims, offers, websites, landing pages and supplied materials and for obtaining any necessary permissions or approvals. The Client must provide accurate information and appropriate account access. The Provider may rely on information and instructions supplied by the Client.
The Client should review proposed ad wording, creative, landing pages, prices, geographic targeting and other material information and promptly request any corrections. The Client must notify the Provider in writing of legal, policy or business changes affecting the campaigns, including changes occurring during the engagement.
Where the Provider has authority to manage campaigns without seeking prior approval for each technical change, that practical arrangement does not transfer responsibility for the Client's underlying business claims, legal notices or compliance requirements.
10. Monthly management fee
The agreed monthly fee is payable in full while the Client continues to receive management services or use or benefit from campaigns, audiences, targeting, configurations or other advertising work created or managed by the Provider.
11. Monitoring is part of the service
The service includes ongoing monitoring and management and is not measured by the number or frequency of changes made. Periods in which no changes are required do not reduce or remove the Client's obligation to pay the agreed management fee.
12. Payment and non-payment
Invoices must be paid within the terms stated on the invoice. If payment is overdue, the Provider may suspend services and pause, or stop, or delete, or remove, or withdraw campaigns, configurations, or audiences, or other work created or implemented by the Provider. Outstanding fees remain payable.
13. Advertising spend, Google/Meta billing and third-party charges
Management fees exclude advertising spend and third-party charges unless expressly stated otherwise. The Client is responsible for such costs and for maintaining valid payment methods with advertising platforms.
All advertising-platform payments and billing arrangements are between the Client and the relevant platform, including Google Ads and Meta/Facebook Ads. The Client is responsible for reviewing charges, budgets, taxes, billing settings, payment methods, invoices, refunds, chargebacks, credit limits, payment failures and disputed transactions directly with the platform.
The Provider is not an employee of Google or Meta and is not a party to their billing contracts with the Client. The Provider does not accept responsibility for third-party billing errors, duplicate charges, failed or declined payments, account holds, price changes, unauthorised charges by third parties, payment disputes, refunds or other payment issues between the Client and an advertising platform, to the fullest extent permitted by law.
The Client must raise billing enquiries and disputes with the platform's support or billing department, even where the Provider has access to campaign budgets or payment settings for management purposes. The Provider's management invoice is separate from the platform's advertising charges.
14. Advertising platforms, performance and service risks
Advertising platforms are operated by independent third parties and may change policies, functionality, costs, verification requirements or account access without notice. The Provider does not guarantee campaign performance, leads, sales, profitability, approvals or uninterrupted advertising.
The Provider cannot guarantee that an advertising platform will approve a campaign, continue to serve ads, retain an account, follow a particular billing practice or maintain any specific feature or price. The Client is responsible for responding to requests for account ownership confirmation, business verification, identity checks, required permissions and other platform obligations.
15. Liability, exclusions and limitation of liability
To the fullest extent permitted by law, the Provider will not be liable for indirect or consequential loss, loss of profit, revenue, business, opportunity or data, or losses resulting from advertising-platform decisions, suspensions, account restrictions, third-party systems, Client-supplied information or actions reasonably taken by the Provider in managing the Client's advertising.
In particular, the Provider does not accept responsibility, to the fullest extent permitted by law, for claims, fines, disapprovals, bans, losses or other consequences attributable to the Client's failure to comply with Google Ads, Meta/Facebook Ads or other platform rules; provide mandatory disclosures or correct wording; follow local laws and currency requirements; secure rights in creative assets; or resolve its own platform billing disputes.
The Provider's total liability arising from the services will not exceed the management fees paid by the Client to the Provider during the three months immediately preceding the event giving rise to the claim.
Nothing in these Terms excludes or limits liability where it would be unlawful to do so. In particular, any exclusion or cap applies only insofar as it is valid and enforceable under applicable law.
16. Ending the service
Either party may end the service in accordance with any agreed notice period. All fees due up to the end of the service remain payable. Ending the service ends ongoing management, monitoring, updates and support.
17. Acceptance
By instructing the Provider to begin work, continuing to use the services, or paying an invoice that refers to these Terms, the Client confirms acceptance of these Terms.
Any separate written proposal, statement of work or agreed service schedule should be read alongside these Terms. The parties should document any agreed variation in writing.
